Restrictive Covenants

Restrictive covenants are an important mechanism to preserve the goodwill of a dental practice and, therefore, they are an integral component of most contractual relationships in the dental industry.

Restrictive covenants are an important mechanism to preserve the goodwill of a dental practice and, therefore, they are an integral component of most contractual relationships in the dental industry.  There are two main types of restrictive covenants: covenants-not-to-compete and non-solicitation covenants. A covenant-not-to-compete usually serves to prohibit a dentist from practicing dentistry in a certain geographic area during his/her employment and for a defined period of time thereafter. Non-solicitation covenants generally restrict dentists from contacting patients, offering employment to office staff and personnel and from seeking referrals from referral sources of the practice. Our team of professionals regularly advises our dental clients on these issues, both from the associate perspective and from the practice/employer perspective. Our team also has experience with litigating and enforcing these restrictive covenants in court, as well as defending actions to enforce them.
