Responsibilities:
• Handle: The formation of business entities; obtain EINs, coordinate UCC searches, apply for Bulk Sales Certificates, Certificates of Occupancy.
• Draft: Prepare initial drafts and revise Letters of Intent, Employment Agreements, Operating Agreements, Asset Purchase Agreements, and more.
• Perform Due Diligence in Collaboration with Attorneys: Including the collection and evaluation of due diligence materials in connection with business and real estate transactions.
• Support the Closing of Transactions: Including the preparation of exhibits and schedules as well as the coordination of other logistical matters. Coordinate execution and delivery of signature pages and notarization of documents for closing and leases, as applicable.
Requirements:
• Minimum of 2 years of paralegal experience, preferably in the healthcare and dental industries.
• Bright, motivated, quick-learning paralegal ready to take on challenging tasks.
• A bachelor’s degree or paralegal certification required.
