Duties and responsibilities include, among other things:

·      Prepare initial drafts and revise Letters of Intent, Employment Agreements, Asset Purchase Agreements, and more.

 ·      Perform entity formation, prepare operating agreements and obtain EINs; Research zoning, coordinate UCC searches and handle other matters relating to dental and veterinary practice start-ups and acquisitions; Communicate directly with clients to obtain necessary information and advise on the status of such matters.

 ·      Collaborate with supervising attorneys and clients to perform due diligence including the collection and evaluation of due diligence materials in connection with business and real estate transactions.

 ·      Support attorneys in connection with the closing of transactions including the preparation of exhibits and schedules as well as the coordination of other logistical matters.

 ·      Act as liaison between attorneys and various third parties including insurance providers, CPAs, lenders and brokers.

The ideal candidate is a highly motivated individual who exhibits confidence, strong organizational and communication skills, professionalism and a positive attitude as well as a command of technology with an aptitude to problem-solve and learn new systems/applications. This paralegal will work independently and as a key member of the legal team, working closely with the attorneys in the office as well as clients and other third parties. The position includes significant opportunity for growth for an individual who willing to take on additional roles within the law firm.
